Terms of Service

In short: Allium is provided to delivery companies under a separate written agreement. If you are using Allium because your employer does, these terms cover your use of it — your employer's agreement governs the rest.

1. These terms

These terms govern your use of the Allium website and platform, provided by Allium Project LLC ("Allium", "we", "us"). By using the service you agree to them. If you do not agree, do not use the service.

Where Allium is provided to an organisation under a separate written agreement, that agreement governs and takes precedence over these terms to the extent they conflict.

2. Accounts

Accounts are issued by the organisation that subscribes to Allium. You are responsible for keeping your sign-in credentials confidential and for activity carried out under your account. Tell your employer, or us, promptly if you believe an account has been compromised.

We may suspend or disable an account where it is being misused, where doing so is necessary to protect the service or other users, or at the direction of the organisation that issued it.

Data entered into Allium by an organisation, or on its behalf, remains that organisation's. We use it to provide the service and as described in our Privacy Policy, and under our agreement with that organisation.

5. Our intellectual property

The Allium platform, the Allium and Allium Project names, the Allium mark and Ally remain the property of Allium Project LLC. Nothing in these terms transfers any right in them beyond the permission to use the service as described here.

6. Availability and changes

We work to keep the service available and reliable, but we do not guarantee uninterrupted operation. We may add, change or remove features, and we may perform maintenance that makes the service temporarily unavailable. Where a change materially reduces functionality an organisation relies on, we will give reasonable notice to that organisation.

7. Disclaimers

Except as expressly stated in a written agreement with us, the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Allium supports operational decisions; it does not make them. Scheduling, performance, safety and employment decisions remain the responsibility of the organisation using the service and the people it employs.

8. Limitation of liability

To the fullest extent permitted by law, Allium Project LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues or data, arising from or relating to your use of the service. Our total liability arising out of or relating to the service is limited to the amounts paid to us for the service in the twelve months preceding the claim.

Some jurisdictions do not allow certain limitations, in which case the limitations above apply only to the extent permitted.

9. Termination

You may stop using the service at any time. We may suspend or end access where these terms are breached, where required by law, or where the organisation that issued your account ends its subscription. Provisions that by their nature should survive termination will do so.

10. Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules, and the courts located in that state will have exclusive jurisdiction over any dispute arising from them.

11. Changes to these terms

We may update these terms as the service changes. We will update the date at the top of this page, and for significant changes we will give notice through the platform or to the organisations we serve.
